IPO는 그동안 소수 창업자·초기 투자자만 들고 있던 비상장 기업의 주식을 처음으로 일반 대중에게 파는 절차입니다. 회사에는 두 가지 의미가 있습니다. 첫째, 신주를 팔아 대규모 자금을 한 번에 조달하고, 둘째, 기존 주주들이 보유 지분을 시장에서 현금화할 통로가 생깁니다. 작동 과정은 보통 증권사(주관사)가 기업 가치를 평가해 공모가를 정하고, 수요예측을 거쳐 거래소에 상장하는 흐름입니다. 흔한 오해는 'IPO에 참여하면 상장 첫날 무조건 오른다'는 기대인데, 실제로는 공모가를 밑도는 사례도 흔합니다. 또 상장 직후에는 거래량과 가격 변동성이 크게 나타나는 경향이 있습니다. 실무에서는 기업의 성장 단계 전환점이자, 창업 생태계에서 초기 투자금을 회수하는 핵심 출구로 다뤄집니다.An IPO is the process of selling a private company's shares — previously held only by founders and early investors — to the general public for the first time. It serves the company in two ways: it raises a large pool of capital at once by issuing new shares, and it opens a channel for existing owners to cash out their stakes on the open market. Mechanically, an underwriting bank appraises the company, sets an offering price, gauges demand, and then lists the stock on an exchange. A common misconception is that joining an IPO guarantees a first-day pop; in reality plenty of stocks trade below their offering price, and the days right after listing tend to show heavy volume and high price volatility. In practice an IPO marks a turning point in a company's growth stage and a key exit for early venture capital.
